Terms of Service

1. Acceptance of Terms

By accessing or using Projan ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Service.

You must be at least 18 years of age to use Projan. By creating an account, you represent and warrant that you are 18 or older.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. In that case, "you" refers to both you individually and the entity you represent.

2. Description of Service

Projan is an AI-powered business planning platform that provides:

  • Conversation-based document generation guided by specialised AI agents
  • Business plan and task breakdowns with structured outputs
  • Document versioning and collaboration features
  • Export and integration with third-party project management tools
  • Team workspaces with role-based access

The Service is operated by Projan AI Ltd (company number 17196385), registered in England & Wales, with registered address at 54 Edwinstowe Drive, Nottingham, NG5 3EP.

3. Account Registration

To use Projan, you must create an account. Individual accounts are for one person only. Team plans allow multiple members under a shared workspace managed by one or more administrators. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your login credentials
  • Not share your individual account with other people (team members must have their own accounts)
  • Notify us immediately of any unauthorised access to your account

You are responsible for all activity that occurs under your account. Team administrators are additionally responsible for the accounts they manage and the seats allocated on their plan.

4. Subscription and Payment

Projan offers paid subscription plans billed through Stripe. Key terms:

  • Free trial - New accounts receive a 14-day free trial with full access to features.
  • Billing - Subscriptions are billed monthly or annually in your selected currency (GBP, EUR, or USD).
  • Auto-renewal - Subscriptions automatically renew at the end of each billing period unless cancelled.
  • Cancellation - You may cancel at any time. You will retain access until the end of your current billing period.
  • Refunds - No refunds are provided for partial billing periods. If you cancel mid-period, you retain access for the remainder of that period.
  • Price changes - We will provide at least 30 days notice of any price increases.

5. Acceptable Use

You agree not to use Projan to:

  • Engage in or facilitate any illegal activity
  • Generate harmful, abusive, threatening, or discriminatory content through the AI system
  • Attempt to reverse engineer, decompile, or extract source code from the platform
  • Use automated scripts, bots, or scrapers to access the Service
  • Impersonate another person or entity
  • Circumvent rate limits, security measures, or access controls
  • Upload malware, viruses, or other malicious code
  • Resell or redistribute the Service without authorisation

Violation of these terms may result in immediate suspension or termination of your account.

6. Intellectual Property

Your Content

You retain all intellectual property rights in the content you create using Projan, including documents, plans, and conversation inputs.

Our Platform

Projan retains all rights to the platform, including its software, AI prompts, templates, design, and documentation. Nothing in these terms grants you rights to our intellectual property beyond the limited license to use the Service.

License to Process

You grant Projan a limited, non-exclusive license to process your content solely for the purpose of delivering the Service (e.g., sending your text to AI models, storing your documents, exporting to integrations). This license terminates when you delete your content or close your account.

7. AI-Generated Content

Content generated by Projan's AI agents is provided "as is". Important disclaimers:

  • AI-generated content may contain inaccuracies, omissions, or errors
  • You are solely responsible for reviewing, validating, and editing any AI-generated output before relying on it
  • AI-generated content does not constitute legal, financial, medical, or professional advice
  • Projan does not guarantee that AI outputs will be fit for any particular purpose
  • You should not make business decisions based solely on AI-generated content without independent verification

8. Third-Party Integrations

Projan offers integrations with third-party services including Slack, Jira, Notion, Linear, Todoist, Google Tasks, Microsoft To Do, monday.com, ClickUp, GitHub, Motion, Confluence, Trello, Wrike, Productboard, Google Docs, Azure DevOps, Dropbox Paper, Smartsheet, HubSpot, and Canny.

  • Your use of integrations is subject to the respective third-party's terms of service
  • You are responsible for authorising and managing integration connections
  • Projan is not liable for service interruptions, data loss, or other issues caused by third-party services
  • Integration credentials are encrypted at rest using industry-standard authenticated encryption
  • You may disconnect integrations at any time from your account settings

9. Data Processing

Our collection and use of personal data is governed by our Privacy Policy.

For business customers who require a Data Processing Agreement (DPA), one is available on request. Contact hi@projan.ai.

10. Service Availability

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We use commercially reasonable efforts to provide high availability but do not currently offer a guaranteed uptime SLA.

  • Planned maintenance windows will be communicated via email in advance
  • We are not liable for downtime caused by factors outside our reasonable control (force majeure, third-party outages, internet disruptions)

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Projan shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Projan shall not be liable for loss of profits, data, business opportunities, or goodwill
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the greater of (a) the total fees you paid to Projan in the 12 months preceding the claim or (b) £100

Nothing in these terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under English law

12. Indemnification

You agree to indemnify and hold harmless Projan AI Ltd from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these terms
  • Content you create or upload that infringes third-party rights
  • Your violation of any applicable law or regulation
  • Third-party claims resulting from your use of exported content

13. Termination

By You

You may terminate your account at any time by cancelling your subscription through account settings. Access continues until the end of your current billing period.

By Projan

We may suspend or terminate your account for breach of these terms. Where practicable, we will provide notice and an opportunity to remedy the breach before termination.

Effect of Termination

Upon termination:

  • Your right to access the Service ceases immediately (or at end of billing period if you cancelled)
  • You have 30 days from termination to request an export of your data
  • After 30 days, your data will be permanently deleted in accordance with our data retention policy

14. Governing Law

These terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from or in connection with these terms or your use of the Service.

15. Changes to Terms

We may modify these terms from time to time. For material changes, we will provide at least 30 days notice via email.

Your continued use of the Service after the effective date of changes constitutes acceptance of the revised terms. If you do not agree with the changes, you must stop using the Service and cancel your account.
